General Terms and Conditions of Mach-3D GmbH

Scope

These Terms and Conditions apply to all business relationships of Mach-3D GmbH, in particular in the areas of training services („Mach-3D Academy“), contract manufacturing and mechanical engineering. All services are provided exclusively on the basis of these Terms and Conditions, unless otherwise agreed in writing.

Offer and conclusion of contract

a) General

The contractual partner can request a quote from Mach-3D. The request can be made by email or via the enquiry form on the Mach-3D website. Drawings or 3D files of the product to be manufactured should be attached in a common file format. Mach-3D will create a quote based on the request, which is valid for seven (7) calendar days. The contract is concluded when the contractual partner accepts the quote and the acceptance is confirmed in writing by Mach-3D. Changes to the quote by the contractual partner are considered a new request.

b) Training and Academy

Registration for training sessions and courses at the Mach-3D Academy must be made in writing and is binding once confirmation of participation has been issued by Mach-3D. The participation fees are due upon registration . Participants may cancel their booking up to 14 days before the course begins. In the event of a later cancellation, an administration fee of 50 % of the participation fee will be charged.

c) Special conditions for contract manufacturing and mechanical engineering

In the area of contract manufacturing and mechanical engineering, Mach-3D carries out manufacturing on demand through partner companies. The contracting partner agrees to the transfer of technical drawings and information to partner companies. A contract is not concluded if the contracting partner's request relates to prohibited products or materials. Should Mach-3D discover this during production, manufacturing can be terminated immediately.

d) Models, CAD data, and reverse engineering

Responsibility for delivered models

The contracting party bears sole responsibility for the accuracy, dimensional stability, functionality, and usability of the provided 3D models and CAD data. Mach-3D does not perform any constructive checks unless expressly commissioned to do so.

Model creation using Mach-3D

If CAD models, printable files or technical drawings are created or edited by Mach-3D, production will only commence after written approval from the contractual partner. Changes after approval will incur costs.

Modifications for manufacturing optimisation

Mach-3D reserves the right to make technical modifications (e.g. wall thicknesses, material flow, support structures) where these are necessary to ensure manufacturability. Responsibility for the functionality of the end product remains with the contracting party.

Disclaimer regarding faulty models

Mach-3D shall not be liable for defects or malfunctions resulting from faulty, incomplete or unspecified customer data.

Reverse Engineering

If a physical object provided by the contracting partner is digitised (reverse engineered) by Mach-3D, the resulting digital model constitutes a draft that requires approval by the contracting partner. Mach-3D assumes no responsibility for hidden defects or tolerances that were not discernible from the original object.

Copyright and Usage Rights

Unless otherwise agreed in writing, all copyright and rights of use in CAD data, scans, designs, visualisations and prototypes created by Mach-3D shall remain with Mach-3D. Any Disclosure or commercial use by the contracting party is not permitted without written consent .

Payment terms

a) General

Invoices are payable in full within 10 days of the invoice date. In the event of late payment, a reminder fee amounting to 5 % of the order value will be charged. Mach-3D reserves the right to claim interest on arrears and further compensation for damages.

(b) Training services

For training and services from the Mach-3D Academy, the prices stated on the website or in the quotation apply. Invoices for participation in courses and training are due upon registration, unless otherwise agreed.

Terms and Conditions of Delivery and Service

a) Contract manufacturing and mechanical engineering

Delivery dates are non-binding unless they have been agreed as binding in writing. Mach-3D endeavours to adhere to agreed delivery deadlines. If the provision of services is delayed due to force majeure or unforeseeable events, the delivery period shall be extended accordingly. The risk shall pass to the contractual partner as soon as the product has been handed over to the carrier or freight forwarder.

b) Training services and academy

Mach-3D reserves the right to cancel or postpone training courses at short notice for important reasons, such as the tutor's illness or insufficient number of participants. In such cases, any participation fees already paid will be fully refunded. No further claims will be entertained.

Liability and Warranty

a) General

Mach-3D is only liable for damage to machines and equipment that have been operated properly in accordance with the instructions. In the event of improper use, Mach-3D accepts no liability. In cases of slight negligence, Mach-3D is only liable for the breach of essential contractual obligations and is limited to foreseeable damage.

b) Training services and academy

Mach-3D is not liable for any damages or losses incurred by participants during travel to and from or during the event itself, unless such damages were caused by gross negligence or wilful misconduct on the part of Mach-3D.

Retention of title

The goods supplied remain the property of Mach-3D until full payment has been made. In the case of commissioned work, where ownership passes directly to the customer, the retention of title does not apply. The contracting party is obliged to treat the goods subject to retention of title with due care and, in the event of any interference by third parties, to inform Mach-3D without delay.

Copyright and Usage Rights

a) Training materials

All training materials provided as part of the Mach-3D Academy’s training programmes and courses are protected by copyright and may not be reproduced or passed on to third parties without the express consent of Mach-3D.

b) Developments within contract manufacturing and mechanical engineering

Unless otherwise agreed, all copyrights and usage rights to technical designs, plans, and prototypes developed within the scope of mechanical engineering or contract manufacturing remain with Mach-3D.

Data Protection and Confidentiality

Mach-3D is committed to processing and handling customer data confidentially in accordance with applicable data protection laws. Data will only be passed on to third parties within the scope of legal permission or with the express consent of the customer. Jurisdiction and applicable law

The place of jurisdiction for all disputes arising from this contract is Kiel, provided that the customer is a merchant, a legal entity under public law, or a special fund under public law. The law of the Federal Republic of Germany shall apply.

Severability clause

Should any provision of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.
